Saeima ir pieņēmusi un Valsts
prezidents izsludina šādu likumu:
Par Latvijas Republikas un Turcijas Republikas līgumu par ieguldījumu savstarpēju veicināšanu un aizsardzību
1.pants. 1997.gada 18.februārī Ankarā parakstītais Latvijas Republikas un Turcijas Republikas līgums par ieguldījumu savstarpēju veicināšanu un aizsardzību (turpmāk — Līgums) ar šo likumu tiek pieņemts un apstiprināts.
2.pants. Likums stājas spēkā tā izsludināšanas dienā. Līdz ar likumu izsludināms Līgums latviešu un angļu valodā.
3.pants. Līgums stājas spēkā tā 9.pantā noteiktajā laikā un kārtībā, un par to Ārlietu ministrija paziņo laikrakstā "Latvijas Vēstnesis".
Likums Saeimā pieņemts 1997.gada 1.oktobrī.

Latvijas Republikas un Turcijas Republikas līgums par ieguldījumu savstarpēju veicināšanu un aizsardzību

Latvijas Republikas valdība un Turcijas Republikas valdība, turpmāk sauktas — Puses,

Vēlēdamās veicināt sadarbību savā starpā, īpaši attiecībā uz vienas Puses ieguldītāju ieguldījumiem otras Puses teritorijā,

Atzīdamas, ka līgums par attieksmi pret ieguldījumiem veicinās kapitāla un tehnoloģijas plūsmu kā arī Pušu ekonomisko attīstību,

Vienojoties, ka godīga un vienāda attieksme pret ieguldījumiem ir vēlama, lai saglabātu stabilus nosacījumus ieguldījumiem un maksimāli efektīvu ekonomisko resursu izmantošanu, un

Nonākot pie lēmuma noslēgt līgumu par ieguldījumu veicināšanu un savstarpēju aizsardzību,

Puses ir nolēmušas sekojošo:

I pants

ŠAJĀ LĪGUMĀ LIETOTĀS DEFINĪCIJAS

1. Termins "ieguldītājs" apzīmē:

(a) fiziskas personas, kas pēc sava statusa pieder kādai no Pusēm, saskaņā ar spēkā esošo likumdošanu.

(b) apvienības, firmas vai biznesa asociācijas, dibinātas vai veidotas saskaņā ar spēkā esošo likumdošanu jebkurā no pusēm un kuru kantoris atrodas attiecīgās Puses teritorijā.

2. Ttermins "ieguldījumi" , saskaņā ar uzņemošās valsts likumiem un noteikumiem, ietver jebkura veida aktīvus, šeit uzskaitītos, bet ne tikai tos:

(a) akcijas, daļas un cita veida piedalīšanos firmu darbā,

(b) atkārtoti ieguldītos ieņēmumus, naudas pieprasījumus un citas tiesības uz likumīgiem rezultātiem, kam ir finansiāla vērtība ieguldījumu sakarā,

(c) kustamo un nekustamo īpašumu kā arī citas lietu tiesības: hipotēkas, ķīlas, garantijas un citas līdzīgas tiesības,

(d) autortiesības, rūpnieciskas un intelektuālas īpašuma tiesības, tādas kā patenti, licences, dizains, tehniskie procesi, kā arī tirdzniecības zīmes, firmas reputāciju, iemaņas un citas līdzīgas tiesības;

(e) biznesa koncesijas, kas apstiprinātas ar likumu vai līgumu, ieskaitot koncesijas izpētei, kultivācijai, dabas resursu ieguvei un izstrādei katras Puses teritorijā — kā minēts iepriekš.

3. Termins "ieņēmumi" apzīmē summas, ko ienesuši ieguldījumi — peļņu, procentus, dividendes u.tml.

4. (a) termins "teritorija" attiecībā uz Latvijas Republiku apzīmē teritoriju, kas ir tās jurisdikcijā, un jūru un jūras dzelmes, kas atrodas Latvijas jurisdikcijā saskaņā ar starptautiskajām tiesībām.

(b) termins "teritorija" attiecībā uz Turcijas Republiku apzīmē sauszemi, jūras teritoriju un kontinentālo šelfu, kas minēts Pušu līgumā un uz ko Turcijai ir suverēnas tiesības jeb jurisdikcija saskaņā ar starptautiskajām tiesībām.

II pants

IEGULDĪJUMU VEICINĀŠANA UN AIZSARDZĪBA

1. Katra no Pusēm atļauj veikt ieguldījumus un ar tiem saistītos pasākumus tās teritorijā uz tādiem pašiem nosacījumiem, kā ir pieņemts līdzīgās situācijās attiecībā uz jebkuras citas valsts ieguldījumiem jeb citu zemju ieguldītājiem, attiecīgo likumu un noteikumu ietvaros.

2. Katra no Pusēm nodrošinās šiem ieguldījumiem tik pat labvēlīgu attieksmi kā pieņemts līdzīgos gadījumos attiecībā uz tās ieguldījumiem un ieguldītājiem vai pret jebkuras trešās valsts ieguldījumiem un ieguldītājiem, atkarībā no tā, kura ir vislabvēlīgākā.

3. Pakļautība Pušu likumiem un noteikumiem attiecībā uz ārvalstnieku iebraukšanu, uzturēšanos un nodarbinātību;

(a) jebkuras Puses pilsoņiem ir atļauts iebraukt un uzturēties otras Puses teritorijā, lai dibinātu, attīstītu, administrētu un vadītu ieguldījumus, ko pirmās Puses ieguldītājs, kas minētos darbiniekus nodarbina, ir ieguldījis, vai attiecīgajā laika periodā plāno ieguldīt zināmu kapitāla apjomu vai citus resursus,

(b) firmas, kas ir likumīgi izveidotas saskaņā ar vienas Puses esošo likumdošanu un noteikumiem, un, kas ir otras Puses ieguldītāju ieguldījumi, saņem atļauju nodarbināt menedžerus un tehnisko personālu pēc savas izvēles, neņemot vērā pilsonību.

4. Šī panta noteikumi nav spēkā attiecībā uz sekojošiem līgumiem, ko noslēgusi kāda no Pusēm:

(a) attiecībā uz jebkurām eksistējošām vai turpmākajām muitas ūnijām, reģionālām ekonomiskām organizācijām vai līdzīgiem starptautiskiem līgumiem,

(b) pilnā mērā un galvenokārt attiecībā uz aplikšanu ar nodokļiem.

III pants

EKSPROPRIĀCIJA UN KOMPENSĀCIJA

1. Ieguldījumi nav pakļaujami ekspropriācijai, nacionalizācijai vai tiešā vai netiešā veidā līdzīgiem pasākumiem, izņemot sabiedrības interesēs nediskriminējošā veidā izmaksājot tūlītēju, atbilstošu un pietiekošu kompensāciju saskaņā ar atbilstošo likumu un vispārējiem principiem, kas minēti šī Līguma 2. pantā.

2. Kompensācijai ir jābūt ekvivalentai ekspropriēto ieguldījumu patiesajai vērtībai pirms ekspropriācijas darbību uzsākšanas vai paziņošanas. Kompensācija izmaksājama nekavējoši un tai jābūt brīvi pārvedamai, kā minēts šī Līguma 4. panta 2. Punktā.

3. Pret jebkuras Puses ieguldītājiem, kuru ieguldījumi cieš zaudējumus otras Puses teritorijā kara darbības, sacelšanās, pilsoņu nemieru vai citu līdzīgu iemeslu dēļ, izrādāma tāda pat attieksme kā pret savas Puses ieguldītājiem vai jebkuras trešās valsts ieguldītājiem, atkarībā no tā kura ir labvēlīgāka, attiecībā uz jebkuru pasākumu, ko tā pieņem attiecībā uz šādiem zaudējumiem.

IV pants

REPATRIĀCIJA UN PĀRVEDUMI

1. Abām pusēm pēc labākās gribas jāatļauj pārvedumu kārtošana attiecībā uz ieguldījumiem, lai pārvedumi bez nevajadzīgas kavēšanās ienāktu un izietu no valsts teritorijas saskaņā ar katras puses likumdošanu.

Šie pārvedumi ir:

(a) ieņēmumi;

(b) ienākumi no ieguldījuma daļas vai visa ieguldījuma pārdošanas vai likvidācijas;

(c) kompensācija saskaņā ar 3. pantu;

(d) iemaksas un procentu maksājumi, kas atvasināti no aizdevumiem ieguldījumu sakarā;

(e) algas un cita veida atlīdzība, ko saņem vienas Puses pilsoņi, kas ieguvuši darba atļaujas otras Puses teritorijā attiecībā uz ieguldījumu;

(f) maksājumi, kas radušies no ieguldījumu strīda;

2. Pārvedumi veicami tajā konvertējamā valūtā, kurā izdarīts ieguldījums un saskaņā ar tādu maiņas kursu, kas ir spēkā pārveduma dienā, ja nav citas vienošanās starp ieguldītāju un otru Pusi.

V pants

AIZVIETOŠANAS PRINCIPS

1. Ja viena ieguldītāja ieguldījums ir apdrošināts pret nekomerciālu risku saskaņā ar likumu, jebkura apdrošinātāja aizvietošanas princips, kas izceļas no apdrošināšanas noteikumu līguma, ir jāatzīst otrai Pusei.

2. Apdrošinātājam nav tiesības izmantot citas tiesības kā tikai tās, ko ieguldītājam būtu tiesības izmantot.

3. Strīdi starp vienu no Pusēm un apdrošinātāju ir risināmi saskaņā ar šī līguma 7.panta noteikumiem.

VI pants

DEROGĀCIJA

Šis līgums nevar novirzīties no:

(a) Pušu administratīvajiem vai juridiskajiem lēmumiem, administratīvās prakses vai procedūras, likumiem un noteikumiem,

(b) starptautiskajām juridiskajām normām, vai

(c) saistībām, ko uzņēmusies kāda no Pusēm, ieskaitot ieguldījumu līgumā minētās vai ieguldījumu pilnvarojumā minētās,

Kas paredz ieguldījumiem vai ar tiem saistītajiem pasākumiem labvēlīgāku režīmu kā apstiprināts šajā līgumā līdzīgās situācijās.

VII pants

STRĪDU RISINĀŠANA STARP VIENU PUSI UN OTRAS PUSES IEGULDĪTĀJIEM

1. Strīdi, domstarpības starp kādu no Pusēm un otras Puses ieguldītāju viņa ieguldījumu sakarā ir jāpaziņo rakstiski, ieguldītājam sniedzot otrai pusei detalizētu informāciju. Ieguldītājam un attiecīgajai Pusei ir jāpieliek visi spēki, lai strīdu atrisinātu sarunu ceļā.

2. Ja minētais strīds sarunu ceļā nav atrisināts sešu mēnešu laikā, skaitot no rakstiskā paziņojuma dienas, kas minēta 1. punktā, strīdu var iesniegt pēc ieguldītāja izvēles:

(a) Ieguldījumu strīdu kārtošanas starptautiskajā centrā (ICSID), kas nodibināts ar "Konvenciju par ieguldījumu strīdu kārtošanu starp valstīm un citu valstu pilsoņiem", ja abas Puses pievienojušās šai konvencijai,

(b) arbitrāžas tiesā "ad hoc", kas izveidota saskaņā ar Apvienoto Nāciju Starptautisko tirdzniecības likumu procedūras noteikumiem (UNCITRAL),

(c) Parīzes Starptautiskās tirdzniecības palātas arbitrāžas tiesā, ar noteikumu, ja skartais ieguldītājs jau iepriekš ir iesniedzis strīdu tās valsts tiesā, kas ir puse strīdā, un galīgais rezultāts nav sasniegts gada laikā.

3. Arbitrāžas tiesas spriedums ir galīgs un saistošs abām strīda pusēm. Katra no Pusēm apņemas izpildīt spriedumu saskaņā ar savas valsts likumu.

VIII pants

STRĪDU RISINĀŠANA STARP PUSĒM

1. Pusēm ir jācenšas atrast pēc labas ticības un draudzīgā sadarbības garā piemērotu risinājumu jebkuram strīdam Pušu starpā attiecībā uz šī līguma pielietošanu un interpretāciju. Šajā sakarā Puses apņemas iesaistīties tiešās pārrunās, lai nonāktu pie atrisinājuma. Ja Puses nevar nonākt pie atrisinājuma sešu mēnešu laikā pēc strīda sākuma iepriekšminētajā veidā, strīdu var iesniegt pēc jebkuras Puses lūguma arbitrāžas tribunālam, kas sastāv no trim locekļiem.

2. Divu mēnešu laikā pēc lūguma saņemšanas, katra no Pusēm izvēlas vienu arbitru. Divi arbitri izvēlas trešo arbitru — priekšsēdētāju, kas ir citas valsts pilsonis. Ja kāda no Pusēm neizvēlas arbitru noteiktajā laika periodā, otra puse var lūgt Starptautiskās tiesas prezidentu izdarīt izvēli.

3. Ja divu mēnešu laikā pēc to nozīmēšanas abi arbitri nevar vienoties par priekšsēdētāja izvēli, priekšsēdētāju nozīmē Starptautiskās tiesas prezidents pēc jebkuras Puses lūguma.

4. Ja gadījumos, kas minēti šī panta (2) un (3) punktā, Starptautiskās tiesas tiesnesis nespēj veikt minēto funkciju, vai, ja viņš ir jebkuras no Pusēm pilsonis, izvēli veic viceprezidents, un, ja viceprezidents nespēj veikt šo funkciju vai, ja viņš ir jebkuras no Pusēm pilsonis, izvēli veic vecākais tiesas loceklis, kas nav nevienas no Pusēm pilsonis.

5. Tribunālam tiek dots trīs mēnešu periods, skaitot no izvēles dienas, lai vienotos par procedūras noteikumiem saskaņā ar šī Līguma noteikumiem. Gadījumā, ja nav šāda līguma, tribunāls var lūgt Starptautiskās tiesas prezidentu noteikt procedūras noteikumus, ņemot vērā Starptautiskās arbitrāžas procedūras vispārpieņemtos noteikumus.

6. Ja vien nepastāv cita vienošanās, visi iesniegumi jāiesniedz un noklausīšanās jāpabeidz astoņu mēnešu laikā skaitot no priekšsēdētāja izvēles dienas, un tribunālam jāizsniedz lēmums divu mēnešu laikā pēc pēdējiem iesniegumiem vai noklausīšanās pabeigšanas, atkarībā no tā, kurš ir pēdējais. Arbitrāžas tribunāls ar balsu vairākumu pieņem lēmumu, kas ir galīgs un saistošs.

7. Zaudējumus, kas cēlušies priekšsēdētājam un pārējiem arbitriem, kā arī pārējās izmaksas, Pusēm jāsedz vienādā mērā. Tribunāls var pēc sava ieskata izlemt, ka kādai no Pusēm maksājama lielākā izmaksu daļa.

8. Strīdu nevar iesniegt starptautiskajā arbitrāžas tiesā saskaņā ar šī panta noteikumiem, ja tas pats strīds jau ir iesniegts citā starptautiskā arbitrāžas tiesā pēc 7. panta noteikumiem un vēl atrodas minētajā tiesā. Tas nekavē Puses iesaistīties tiešās un atbildīgās sarunās savā starpā.

IX pants

STĀŠANĀS SPĒKĀ

1. Šis Līgums stāsies spēkā no dienas, kad Puses darīs zināmu viena otrai, ka ir izpildītas visas tiesiskās prasības, lai šis Līgums varētu stāties spēkā. Tas būs spēkā desmit gadu laikā un turpinās būt spēkā, ja vien netiks izbeigts saskaņā ar šī panta 2. punktu. Tas attiecas uz ieguldījumiem, kas eksistēs laika periodā, kad Līgums stāsies spēkā kā arī uz ieguldījumiem, kas tiks ieguldīti vēlāk.

2. Jebkura Puse, iesniedzot rakstisku paziņojumu otrai Pusei vienu gadu iepriekš, var pārtraukt šo Līgumu minētā desmit gadu perioda beigās vai jebkurā brīdī pēc tam.

3. Šajā līgumā var izdarīt labojumus, abām Pusēm rakstiski vienojoties. Jebkurš labojums var stāties spēkā tikai tad, kad katra no Pusēm ir paziņojusi otrai Pusei, ka tā ir izpildījusi visas iekšējās prasības, lai šāds labojums varētu stāties spēkā.

4. Attiecībā uz ieguldījumiem, kas veikti vai iegūti pirms šī Līguma izbeigšanas un uz kuriem šis līgums attiecas, visu pārējo pantu noteikumi turpinās būt spēkā turpmākajam desmit gadu periodam, skaitot no Līguma izbeigšanās dienas.

To apliecinot, Pušu pilnvarotie pārstāvji ir parakstījuši šo Līgumu.

Līgums noslēgts Ankarā 1997.gada 18.februārī divos eksemplāros latviešu, turku un angļu valodā, pie tam visi tie ir vienlīdz autentiski.

Atšķirīgas interpretācijas gadījumā tekstam angļu valodā dodama priekšroka.

Agreement
between the Government of the Republic of Latvia and the Government of the Republic of Turkey Concerning the Reciprocal Promotion

And Protection Of Investments

The Government of the Republic of Latvia and the Government of the Republic of Turkey, hereinafter referred to as Parties, arties,

Desiring to promote greater economic cooperation between them, particularly with respect to investment by investors of one Party in the territory of the other Party;

Recognizing that agreement upon the treatment to be accorded such investment will stimulate the flow of capital and technology and the economic developments of the Parties;

Agreeing that fair and equitable treatment of investment is desirable in order to maintain a stable framework for investment and maximum effective utilization of economic resources, and

Having resolved to conclude an agreement concerning the encouragement and reciprocal protection of investments,

Hereby agree as follows:

Article I

DEFINITIONS FOR THE PURPOSE OF THIS AGREEMENT:

1. The term "investor" investor" means:

(a) natural persons deriving their status as nationals of either Party according to its applicable law,

(b) corporations, firms or business associations incorporated or constituted under the law in force of either of the Parties and having their headquarters in the territory of that Party.

2. the term "investment" , in conformity with the hosting Party's laws and regulations, shall include every kind of asset in particular, but not exclusively:

(a) shares, stocks or any other form of participation in companies,

(b) returns reinvested, claims to money or any other rights having financial value related to an investment,

(c) movable and immovable property, as well as any other rights in rem such as mortgages, liens, pledges and any other similar rights,

(d) copyrights, industrial and intellectual property rights, such as patents, licenses, industrial designs, technical processes, as well as trademarks, goodwill, know-how and other similar rights; r rights;

(e) business concessions conferred by law or by contract including concessions to search for, cultivate, extract and exploit natural resources on the territory of each Party as defined hereinafter.

3. The term "returns" means the amounts yielded by an investment and includes in particular, though not exclusively, profit, interest, and dividends.

4. (a) the term "territory" means in respect to Latvia the territory under its sovereignty and the sea and submarine areas over which the Republic of Latvia exercises, in conformity with international law, sovereignty, sovereign rights or jurisdiction.

(b) the term "territory" means in respect to Turkey — the land boundaries, the maritime areas and the continental shelf delimited by mutual agreement between the parties concerned over which Turkey has sovereign rights or jurisdiction in accordance with international law.

Article II

PROMOTION AND PROTECTION OF INVESTMENTS

1. Each Party shall permit in its territory investments, and activities associated therewith, on a basis no less favourable than that accorded in similar situations to investments of investors of any third country, within the framework of its laws and regulations.

2. Each Party shall accord to these investments, once established, treatment no less favourable than that accorded in similar situations to investments of its investors or to investments of investors of any third country, whichever is the most favourable. vourable.

3. Subject to the laws and regulations of the parties relating to the entry, sojourn and employment of aliens:

(a) nationals of either Party shall be permitted to enter and remain in the territory of the other party for purposes of establishing, developing, administering or advising on the operation of an investment to which they, or an investor of the first Party that employs them, have committed or are in the process of committing a substantial amount of capital or other resources,

(b) companies which are legally constituted under the applicable laws and regulations of one Party, and which are investments of investors of other Party, shall be permitted to engage managerial and technical personnel of their choice, regardless of nationality.

4. The provisions of this article shall have no effect in relation to following agreements entered into by either of the Parties.

(a) relating to any existing or future customs unions, regional economic organization or similar international agreements,

(b) relating wholly or mainly to taxation.

Article III

EXPROPRIATION AND COMPENSATION

1. Investments shall not be expropriated, nationalized or subject, directly or indirectly, to measures of similar effects except for a public purpose, in a non-discriminatory manner, upon payment of prompt, adequate and effective compensation, and in accordance with due process of law and the general principles of treatment provided for in ARTICLE II of this Agreement.

2. Compensation shall be equivalent to the real value of the expropriated investment before the expropriatory action was taken or became known. Compensation shall be paid without delay and be freely transferable as described in paragraph 2 ARTICLE IV.

3. Investors of either Party whose investments suffer losses in the territory of the other Party owing to war, insurrection, civil disturbance or other similar events shall be accorded by such other Party treatment no less favourable than that accorded to its own investors or to investors of any third country, whichever is the most favourable treatment, as regards any measure it adopts in relation to such losses.

Article IV

REPATRIATION AND TRANSFER

1. Each Party shall permit in good faith all transfers related to an investment to be made freely and without unreasonable delay into and out of its territory in accordance with the legislation of each Party. Such transfers include:

(a) returns, returns,

(b) proceeds from the sale or liquidation of all or any part of an investment,

(c) compensation pursuant to ARTICLE III,

(d) reimbursements and interest payments deriving from loans in connection with investments,

(e) salaries, wages and other remunerations received by the nationals of one Party who have obtained in the territory of the other Party the corresponding work permits relative to an investment,

(f) payments arising from an investment dispute.

2. Transfers shall be made in the convertible currency in which the investment has been made or in any convertible currency at the rate of exchange in force at the date of transfer, unless otherwise agreed by the investor and the hosting Party.

Article V

SUBROGATION

1. If the investment of an investor of one Party is insured against non-commercial risks under a system established by law, any subrogation of the insurer which stems from the terms of the insurance Agreement shall be recognized by the other Party.

2. The insurer shall not be entitled to exercise any rights other than the rights which the investor would have been entitled to exercise. exercise.

3. Disputes between a Party and an insurer shall be settled in accordance with the provisions of ARTICLE VII of this Agreement.

ARTICLE VI

DEROGATION

This Agreement shall not derogate from:

(a) laws and regulations, administrative practices or procedures or administrative or adjudicatory decisions of either Party, er Party,

(b) international legal obligations, or

(c) obligations assumed by either Party, including those contained in an investment agreement or an investment authorization, that entitle investments or associated activities to treatment more favourable than that accorded by this Agreement in like situations.

ARTICLE VII

SETTLEMENT OF DISPUTES BETWEEN ONE PARTY AND INVESTORS OF THE OTHER PARTY.

1. Disputes between one of the Parties and an investor of the other party, in connection with his investment, shall be notified in writing, including a detailed information, by the investor to the recipient Party of the investment. As far as possible, the investor and the concerned Party shall endeavour to settle these disputes by consultations and negotiations in good faith.

2. If these disputes cannot be settled in this way within six months following the date of the written notification mentioned in paragraph 1, the dispute can be submitted, as the investor may choose, to: oose, to:

(a) the International Center for Settlement of Investment Disputes (ICSID) set up by the "Convention on Settlement of Investment Disputes between States and Nationals of Other States", in case both Parties become signatories of this Convention,

(b) an (b) an ad hocccourt of arbitration laid down under the arbitration rules of procedure of the United Nations Commission for International Trade Law (UNCITRAL),

(c) the Court of Arbitration of the Paris International Chamber of Commerce, provided that, if the investor concerned has brought the dispute before the courts of justice of the party that is a party to the dispute and a final award has not been rendered within one year.

3. The arbitration awards shall be final and binding for all Parties in dispute. Each Party commits itself to execute the award according to its national law.

ARTICLE VIII

SETTLEMENT OF DISPUTES BETWEEN THE PARTIES

1. The Parties shall seek in goods faith and a spirit of cooperation a rapid and equitable solution to any dispute between them concerning the interpretation or application of this Agreement. In this regard, the Parties agree to engage in direct and meaningful negotiations to arrive at such solutions. If the Parties cannot reach an agreement within six months after the beginning of dispute between themselves through the foregoing procedure, the dispute may be submitted, upon the request of either Party, to an arbitral tribunal of three members.

2. Within two months of receipt of a request, each Party shall appoint an arbitrator. The two arbitrators shall select a third arbitrator as chairman, who is a national of a third state. In the event either Party fails to appoint an arbitrator within the specified time, the other Party may request the President of the International Court of Justice to make the appointment. ointment.

3. If both arbitrators cannot reach an agreement about the choice of the chairman within two months after their appointment, the chairman shall be appointed upon the request of either Party by the President of the International Court of Justice.

4. If, in the cases specified under paragraphs (2) and (3) of this Article, the President of the International Court of Justice is prevented from carrying out the said function or if he is a national of either Party, the appointment shall be made by the vice-president, and if the vice-president is prevented from carrying out the said function or if he is a national of either Party, the appointment shall be made by the most senior member of the court who is not a national of either Party.

5. The tribunal shall have three months from the date of the selection of the chairman to agree upon rules of procedure consistent with the other provisions of this Agreement. In the absence of such agreement, the tribunal shall request the President of the International Court of Justice to designate rules of procedure, taking into account generally recognized rules of international arbitral procedure.

6. Unless otherwise agreed, all submissions shall be made and all hearings shall be completed within eight months of the date of selection of the chairman, and the tribunal shall render its decision within two months after the date of the final submissions or the date of the closing of the hearings, whichever is later. The arbitral tribunal shall reach its decisions, which shall be final and binding, by a majority of votes.

7. Expenses incurred by the chairman, the other arbitrators, and other costs of the proceedings shall be paid for equally by the Parties. The tribunal may, however, at its discretion, decide that a higher proportion of the costs be paid by one of the Parties.

8. A dispute shall not be submitted to an international arbitration court under the provisions of this article, if the same dispute has been brought before another international arbitration court under the provisions of ARTICLE VII and is still before the court. This will not impair the engagement in direct and meaningful negotiations between both Parties.

ARTICLE IX

ENTERING INTO FORCE

1. This Agreement shall enter into force on the date on which the Parties have notified each other that their legal requirements for the entry into force of this Agreement have been fulfilled. It shall remain in force for a period of ten years and shall continue in force unless terminated in accordance with paragraph 2 of this Article. It shall apply to investments existing at the time of entry into force as well as to investments made or acquired thereafter.

2. Either Party may, by giving one year's written notice to the other Party, terminate this Agreement at the end of the initial ten year period or at any time thereafter. ereafter.

3. This Agreement may be amended by written agreement between the Parties. Any amendment shall enter into force when each Party has notified the other that it has completed all internal requirements for entry into force of such amendment.

4. With respect to investments made or acquired prior to the date of termination of this Agreement and to which this Agreement otherwise applies, the provisions of all of the other articles of this Agreement shall thereafter continue to be effective for a further period of ten years from such date of termination.

In witness whereof, the respective plenipotentiaries have signed this Agreement.

Done in Ankara on the day of February 18, 1997 in duplicate in the Latvian, Turkish and English languages, all of which are equally authentic. In case of divergence of interpretation the English text shall prevail.
